Commercial License Terms — Version 1.0, February 2026
Nextedy Solutions are pre-configured sets of compliance templates, traceability models, report pages, and interactive dashboards for Polarion ALM. Each solution is commercially licensed by Nextedy Systems s.r.o. and requires an active subscription. By using any Nextedy Solution you agree to the terms below.
1. DEFINITIONS
- “Solution” means a Nextedy industry solution: the collection of Polarion ALM configuration assets including LivePage reports, Velocity scripts, PowerSheet configurations, Risksheet templates, RTM models, and associated documentation delivered as part of the product.
- “Licensor” means Nextedy Systems s.r.o., Pernerova 697/35, 186 00 Prague, Czech Republic.
- “Licensee” means the entity holding a valid subscription as specified in the license agreement or purchase order.
- “Subscription” means the active, time-limited license granting Licensee the right to use and customize the Solution.
2. OWNERSHIP
The Solution is the intellectual property of Nextedy Systems s.r.o. It is licensed, not sold. All configuration assets — including report templates, Velocity source code, YAML/JSON configurations, data model structures, and design patterns — remain the sole property of the Licensor, regardless of any modifications or customizations made by the Licensee.
3. GRANT OF LICENSE
Subject to an active subscription, Licensor grants Licensee a limited, non-exclusive, non-transferable right to:
- Deploy the Solution on Licensee’s Polarion ALM instance(s) covered by the subscription.
- Modify, customize, and extend the configuration assets for Licensee’s internal use.
4. NO LICENSE, NO RIGHTS
Without a valid subscription, no rights are granted. Any person or entity that does not hold an active subscription may not use, copy, modify, derive from, or reuse any portion of the Solution — including but not limited to code snippets, configuration fragments, templates, structural patterns, or design approaches. Unauthorized use constitutes a violation of applicable intellectual property laws.
5. RESTRICTIONS
Even with a valid subscription, Licensee may not:
- Reuse any portion of the Solution — including code snippets, configuration fragments, templates, or structural patterns — without a valid subscription.
- Redistribute, sublicense, or resell the Solution or any of its components to third parties.
- Remove or alter copyright notices, license references, or branding elements.
- Use the Solution or derivative works to create a competing product or service.
6. DERIVATIVE WORKS
Licensee may create derivative works based on the Solution for internal use. However, all derivative works remain subject to this license and require an active subscription. If the subscription expires or is terminated, Licensee must cease using both the original Solution and any derivative works.
7. SUBSCRIPTION & TERMINATION
- The license is valid only for the duration of an active subscription.
- Upon expiration or termination of the subscription, Licensee must cease using the Solution and any derivative works.
- Licensor reserves the right to terminate the license if Licensee breaches any terms of this agreement.
8. WARRANTY & LIABILITY
THE SOLUTION IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LICENSOR’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE CURRENT SUBSCRIPTION TERM.
9. GOVERNING LAW
This agreement is governed by the laws of the Czech Republic. Any disputes shall be subject to the jurisdiction of the courts of the Czech Republic.
